Annual Report
An annual report of the organization’s activities shall be compiled each year and submitted to all relevant parties such as government authorities, major donors and others. It shall include a summary of activities and an annual organizational financial report, including a balance sheet of income and expenditures, the auditor’s report and a list of all donors, as well as any other information required by the Ethiopian laws.
Maintenance of the Organizational Records
All organizational records of importance shall be kept in a central file by the management support office for a period of five years (or longer if required by donor or statuary needs) after these documents cease to be in effect.
These records of important include founding documents, by-laws, internal regulations, personnel policies, Board meeting minutes, project/program proposals, reports, financial records, auditor’s reports agreement with grantees including grantee project proposals, signed letters of agreement, grantee budgets (including grantee organization budgets),budget or proposal extensions or amendments, contracts for services either by or for the organization and any other documents deemed by the Board to be importance.
Salaries
The Board shall hire and fix the compensation of any and all employees which they in their discretion may determine to be necessary for the conduct of the business of the organization.
Committees
All committees of the organization shall be appointed by the Board and their term of office shall be for a period of two year or less if sooner terminated by the action of the Board.
Property Of The Organization
All property of Horn of Africa Center for Peace shall be registered in the name of the organization and managed and used accordingly to the organization fixed asset and inventory policy.
Dissolution Of The Organization
If at any time, it is found necessary to dissolve the organization shall be dissolved by a resolution adopted at a special meeting convened for that purpose. The organization shall be dissolved by support for such a resolution by not fewer than seven members of the Board.
Notice of a special meeting called for the purpose of dissolution shall be circulated to all Board members, along with the resolution to dissolve; at least fifteen days prior to such a meetings upon dissolution of the organization.
Not fewer than five members of the Board shall determine the disposal of assets. If any funds or property remain after the satisfaction of all debts and liabilities, the same shall be given to another non-for-profit organization with similar aims and objectives and according to Ethiopian legal requirements.
Interpretation Of The Organization
The responsibility for the interpretation of the terms of the constitution or any other matter arising in connection with its meaning is that of the Board by a 3/4 majority vote, with at least half of all delegates present.
Approval Of The Constitution
The Board, whose signatures are attached, approves this constitution on 2nd of October This constitution is binding until ratification of a later one by unanimously agreement of the Board of Horn of Africa Center for Peace .
Amendment Of The By-laws
The by-laws of the organization may be amended, altered or modified at any time by a resolution of the Board at a meeting duly convened for that purpose and supported by not fewer than five Board members. To request an amendment to the by-laws at least four members of the Board shall open to sponsor the resolution of amendment, alteration or modification.
The text of any proposed amendments and the existing text shall be circulated to all Board members with notification of the meeting at least fifteen days prior to the meeting at which the proposed amendments are to be considered.
Transitory Provisions
The memorandum is subject to the national and international laws concerning the subject matter especially 404-482 of Ethiopia civil code of 1960.
Effective Date
This memorandum will come into effect after having read and being signed by the founders of the organization at the first day of the meeting.
